These Terms of Service (“Terms”) govern your access to and use of Stelt, a product of Shasha Technology (“Stelt,” “we,” “us”). Please also read our Privacy Policy and AI Disclaimer, which are part of these Terms.
1. Acceptance
By creating an account, installing the desktop app, embedding a Stelt assistant on a website, or otherwise using Stelt, you agree to these Terms. If you are using Stelt on behalf of an organisation, you represent that you are authorised to bind that organisation. You must be at least 18 years old to use Stelt.
2. The service
Stelt provides: STELT Business, an AI voice/chat assistant you can embed on your website and train on your own knowledge; and STELT Personal, a desktop AI assistant (“Willow”) with voice, personalization, and optional tools. Features vary by product, plan, and availability, and some capabilities are in limited release or in development.
3. Your account
You are responsible for the information you provide, for keeping your login credentials and any provider keys confidential, and for all activity under your account. Notify us promptly of any unauthorised use. You are responsible for complying with the laws that apply to you, and for providing any privacy notices or obtaining any consents required from your own website visitors or end users.
4. Acceptable use
You agree not to use Stelt to:
- break the law, infringe others’ rights, or violate the terms of any provider or connected service;
- upload or generate content that is unlawful, harmful, deceptive, or that you have no right to use;
- attempt to access accounts, data, or systems you are not authorised to access, or to disrupt, overload, reverse-engineer, or circumvent the service or its security;
- use the service to send spam, or to build a competing model or dataset from the service;
- rely on the service for decisions that require professional, legal, medical, financial, or other qualified advice without independent review.
5. Your content & instructions
You retain ownership of the content and knowledge you provide (“Your Content”). You are responsible for Your Content and for the instructions you give the assistant, including actions it takes on your behalf. You grant us a limited licence to host, process, and transmit Your Content solely to operate and provide the service to you (for example, sending a request to an AI provider to generate a reply). We do not use Your Content to train our own AI models.
6. AI output limitations
Stelt uses artificial intelligence. AI output can be inaccurate, incomplete, or outdated, and may not be suitable for every purpose. You are responsible for reviewing AI output before relying on or acting on it, especially for anything consequential. See our AI Disclaimer.
7. Connected third-party services
You may connect third-party accounts (for example, AI providers or social services). Your use of those services is governed by their own terms and privacy policies, and you are responsible for the permissions you grant and for any content you publish through them. You can disconnect an integration to revoke access, subject to how it is implemented. We are not responsible for third-party services.
8. Provider keys & costs
Stelt uses a “bring your own key” model for many AI/voice features. When you supply your own provider keys, your use of those providers is billed by them under their pricing and terms, separately from any Stelt subscription. You are responsible for your provider usage and costs.
9. Intellectual property
Stelt, including its software, website, branding, and design, is owned by Shasha Technology and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the service in accordance with these Terms. You may not copy, modify, distribute, sell, or create derivative works from the service except as permitted by law or with our written consent. Rights in content generated by AI providers are subject to those providers’ terms.
10. Beta & experimental features
Some features are offered as alpha, beta, preview, or experimental. They may change, break, or be withdrawn at any time, may be less reliable, and are provided “as is” without any commitment. Do not rely on experimental features for critical purposes.
11. Subscriptions & fees
Paid plans are billed through our payment processor (PayPal) on the cycle shown at checkout, and may include a trial. You authorise recurring charges until you cancel. You can cancel from the dashboard or through PayPal; cancellation stops future charges and takes effect at the end of the current period. Except where required by law, fees are non-refundable. We may change plans and pricing prospectively, with notice for existing subscriptions.
12. Availability & changes
We aim to keep Stelt available and useful, but we do not guarantee uninterrupted or error-free operation. We may add, change, suspend, or discontinue features at any time. Maintenance, third-party outages, or other factors may affect availability.
13. Termination & suspension
You may stop using Stelt at any time and cancel any subscription. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or if we discontinue the service. On termination, your right to use the service ends; sections that by their nature should survive (such as ownership, disclaimers, and limitation of liability) will survive.
14. Disclaimers
The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or that the service will be uninterrupted, secure, or error-free. You use the service at your own risk. Stelt is not a substitute for professional advice.
15. Limitation of liability
To the maximum extent permitted by law, Shasha Technology and its owners and personnel will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising from or related to your use of (or inability to use) the service. To the maximum extent permitted by law, our total liability for any claim relating to the service is limited to the greater of the amount you paid us for the service in the three months before the claim, or USD $50.
16. Governing law
These Terms are governed by the laws of Trinidad and Tobago, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts of Trinidad and Tobago for any dispute, except where applicable law gives you the right to bring a claim elsewhere.
17. Changes to these terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, take reasonable steps to notify you. Your continued use of Stelt after an update means you accept the revised Terms.
